Interesting to see what is in the AGM notice, and what is NOT in it...

According to the constitution 1/3 of the board must be rotated every year.

13.2 Rotation of Directors
Subject to clause 17.4, at the Company's first annual general meeting after incorporation, all the Directors shall retire from office, and at the annual general
meeting in every subsequent year, one-third of the Directors for the time being, or, if their number is not a multiple of 3, then the number nearest one-third (rounded
upwards in case of doubt), shall retire from office, provided always that no Director except a Managing Director shall hold office for a period in excess of 3 years, or until the third annual general meeting following his or her appointment, whichever is the longer, without submitting himself for re-election. The Directors to retire at an annual general meeting other than the first annual general meeting are those who have been longest in office since their last election, but, as between persons
who became Directors on the same day, those to retire shall (unless they otherwiseagree among themselves) be determined by drawing lots. A retiring Director is
eligible for re-election. An election of Directors shall take place each year.

17.4 Rotation
A Managing Director shall not retire by rotation in accordance with clause 13.2, but Executive Directors shall.

According to the 13.2, two directors (1/3 of 6) must resign, but the AGM notice only indicates one director standing for re-election - Mr Dunmoore.

So who is the other director to resign but not stand for re-election?
