You’ve had 2 companies destroyed by shareholders that had 26% of the company, yet here you are wanting this board to have the ability to put you in this exact situation, to give the board the ability to issue a JV partner 25% without shareholders having a say after considering the merits of the JV?

TBH, I don’t think it’s healthy to issue more than 10% to one company, for the above reasons you have experienced.

Like many have reiterated, if the company actually started doing the job of promoting the company and getting the market cap higher, we wouldn’t have to worry about giving away so much of the company.
