Since the idea of an independent director has been thrown around...

Since the idea of an independent director has been thrown around here a few times, I thought I'd get the ball rolling with a few questions:

1. Can we introduce a motion to elect an independent director at this AGM? If not, are we able to push for this issue to be raised at the next AGM?

2. Where would we look for an independent directory? What would their qualifications, experience, etc be?

3. If this is possible, would anyone be willing to act as a proxy at the AGM? This seems a bit harder since most of those I remember saying they went last year are out.
