    BRAINCHIP GM 04/12/15
Discussions with Neil Rinaldi following the meeting.

Please note that this is my interpretation of Neil’s responses – some of which were far more detailed and technical than I could follow or make notes on e.g. the responses to questions 3, 7 & 8 were in far greater depth than the responses noted below.

      1. How is the search for the new CEO going? Going well, discussions with prospective CEO’s ongoing, focussing on appointing the right person who has substantial marketing experience, is technologically aware and US based, probably from within one of the large IT organisations and who may be interested in a substantial investment in the company.
      2. What is the likelihood of a capital raising in the short term? The company requires $10 million over a two year period commencing 22/9/15 for day to day costs and development costs. Licensing fees generated within those 2 years will offset against any CR. CR may be considered if a business opportunity requiring $ for growth arises.
      3. Will a typical Brainchip processor be physically easy to manufacture and integrate into partner product? Yes, as it is completely digital technology (no analogue components) it will be very easy for existing foundries to manufacture and for manufacturers to integrate into product.
      4. Which companies has MZ Group presented the recent Company presentation to? MZ Group was involved in presentations in May 2015 to Credit Suisse and other fund managers. The recent appointment will result in similar presentations including a road show in early 2016. MZ Group was involved in providing information to enable the recent newspaper article.
      5. In addition to MZ Group activities, what further marketing activities to future investors/partners are planned? Ongoing management discussions with potential purchasers of licensing agreements and investors throughout Australia and the U.S. including presentations to ‘very’ large fund management groups and boutique fund managers who act for high wealth individuals.
      6. How many non-disclosure agreements are in place with Fortune 500 companies? Between 15 and 20.
      7. Do you believe Brainchip remains years ahead of competition in development of neuromorphic chips? Yes.
      8. Could you explain if and why Qualcomm Zeroth, Knowm or CogniMem could be considered competitors or not? Brainchip is a biologically realistic model. Those listed above are either software based or not using a complete neural model.
      9. Do you believe revenue is achievable within six months? Deals within the first six months of 2016 are expected as is the expectation that M4 will immediately follow M3.
