The reason why it went up above the offer price last time was that the board refused to accept under $3. Now that the board has indicated it will accept an offer, that's acting as a cap. People who are buying now are buying in anticipation of a deal at $3, nothing higher, and the difference in the current price relative to the offer price is accounting for the small chance that the offer will be retracted. Definitely doesn't look like the market is expecting anything negative though
