You can nominate the chairman as your proxy but MAKE SURE you cross yes or no in the appropriate boxes on each resolution. i.e. vote no to retain John Foley as a director. The chairman/company must comply with your instructions. If you do not mark your preferences to the resolutions the chairman will decide how to use your number of votes and it will be in favour of all the proposed resolutions.
Yes you get one vote for each share you hold. so if you hold a million shares, you get a million votes.
