Garner can certainly vote on all issues. There are some difficulties in non-residents participating in some issues to shareholders, but none on voting.
Directors can vote on all issues that do not directly involve them where there may be a conflict of interest. For instance a director may not vote for his own election as a director, but can vote in the election of others as directors. Similarly, a director may not vote to for the Company to issue options to himself, but may vote to issue options to other directors.
