Under the merger Atlas still has 8.1%. This is a joint venture and MIN has bought Atlas 90% for 3.7 cents per share.
What did they buyout you say:
- the trucking agreement which was ripping profits away from the bottomline
- bought out the debt and released the debtholders
- bought out all shareholders but not the retailer shareholders
- MIN is the new debtor for Atlas moving forward where they will explore all commodity oppurtunites moving forward.
- put 200 million in Atlas account 300 - the debt!
Separate from the Scheme, Atlas and MinRes have also identified a range of opportunities on which they can cooperate. To pursue these opportunities, the companies have entered into an Alliance Agreement that provides a framework for: • The parties will pursue a number of existing and potential future commodity opportunities • A new vehicle (“SPV”), controlled by Atlas, will be responsible for managing Lithium and Manganese operations • MinRes will provide the initial working capital for the SPV operations, with Atlas then providing funding going forward • The alliance agreement and SID are not inter-conditional.
