    I agree 100% with Hottod's analysis, not just from the theoretical perspective but from practical experience.

    My example is as follows ; in the early 1990ies I was MD of a technology company investing & commercialising a novel biotech product with potentially wide applications. We made a deal with a small-medium US company (SM-US) to manufacture and sell into a specific US market. SM-US and ourselves did a deal with a mis-sized UK company (MS-UK) to manufacture & sell into Europe . The SM-UK was acquired outright by a large US corporation (Mega-US), which I won't name and which set up a subsidiary to make & market throughout the world products derived from & related to our original technology. The products are still on the market. What about contracts and patents etc you might ask ? Taking on SM-UK &/or Mega-US was financially impossible.

    The moral of the story is not to share trade secrets, nor to hand effective control to parties who seem to be friendly, eg that offer finance ostensibly to facilitate faster progress to markets etc in exchange for equity. We had a hard time. I wouldn't wish this on NEU's founding shareholders & good-hearted investors.
