I believe a director holds shares in the company s/he helps to manage is a sign of good faith that s/he has a financial interest in the company, just like the shareholders and that s/he will do everything possible to maximise shareholder value (thus his/her holding value as well).
If the engineerers at the mines just called and reported huge gold finds or if a broker called and said someone is offering to buy 19% of the company at $1, do you think the directors will sell their shares @39c?
Directors of course can trade shares, but I think it is unethical to trade the shares of the company s/he helps to manage.
