Companies don't buy a business that is subject to lawsuits - especially where the lawsuits could strip out all the cash in the target company.
And if you are interested in companies being valued less than their cash backing....take a look at KAR - lots of cash, but the market have consistently (over 4 years now) valued it less than its cash backing.
