The meaning of a 13d-1(c)

Passive Investors: Any person acquiring more than 5% but less than 20% of an equity security and did not acquire such securities with a purpose or effect of changing or influencing control of the issuer or in a transaction having that effect. Rule 13d-1(c).

If between 5-10% they have 45 days to notify
If between 10-20% they have 10 days to notify

I don't know how these things apply in the USA but Amgen have voting and dispositive powers with the 24m stock. In the announ.

If not converted - the issuing of shares now at an unknown SP of the future beats me. I will leave it at that.
