    LTI - my understanding is you are correct that one must be defined as a sophisticated investor to be able to organise a private placement. The bad news is that you must have an income of at least $250K/yr to qualify as sophisticated - so - cough - I don't - cough - make it! Now a man of your wealth and standing.............!!
