The Directors reserve the right to place the shortfall of
1,744,513,321 ordinary shares under the Entitlement Offer within 3 months of the closing date of the Entitlement Offer at the same issue price of $0.003 per share.

However, I'm not convinced there have to be a sophisticated investor. Overall it is the shortfall under the Entitlement Offer and not a share placement.
