NCM and BHP are the only companies that could have a go, and BHP is not interested. There are no Govt rules saying that NCM cannot do it, I think the OZL board need to watch their backs as they may go from predator to prey.
Ok lets do some pro's and con's.
NCM has a Gold / Copper strategy. OZL, at current market cap is, IMO, a good growth strategy for NCM. NCM could use script, with a starting bid of 3 OZL for 1 NCM (a 15% premium).
Con's for NCM
The key question for a predator is what is PH worth? If you take the MC of 2.2billion and strip out 750m cash and 350m for C you get a figure of 1.1billion. Can a predator see clear value in PH at this level?
