Ann: 2019 AGM - Notice of Meeting, page-2

AGM next Friday. Facing a second strike and online proxy voting closes next Wednesday. ASX reported on 4/10/19 that they had breached listing rules by delaying disclosure of changes in the Managing Director's holdings. Looking at page 14 of the Notice of Meeting looks like they may be up to this again. Comparing the share rights that the NOM says have been issued to the MD and his previous Change of Director holding notices-
- July 2017 NOM says 18.8m but only 16.2m disclosed at the time
- June 2018 NOM says 15.2m but only 13.0m disclosed at the time
- July 2018 NOM says 8.3m but no disclosure at the time or to date
- November 2018 NOM says 9.4m and same amount disclosed at the time
- September 2019 NOM says 0.1m but not disclosed to date

Only one of the five issues of share rights to the MD are consistent between the NOM and his compulsory director notices, which report a lower number or have not been disclosed. Seems the ASX also needs to have a look at this and questions asked at the AGM. Proxy voters need to decide whether to vote for or against issuing more again now.
