Regardless of how you feel about their intentions, that last dot point is a given and standard in any sort of business deal that is still in progress. I'd probably be more wary if they didn't include this, since it at least gives a glimpse of transparency.
That's just the nature of deal/contract based business. All stakeholders are only trying to further their own interests, and at any time there is the possibility that things will fall through. Thinking otherwise is folly.
