I don't think SC has the numbers on the BoD or in terms of stock. The whole structure of the company (weak management recruited from the ranks with no prior experience outside FLN, weak BoD, closely held stock with MB+SC holding the majority and MB the largest chunk) is about MB keeping control above all else. All SC can do is sell his holding and go home, with predictable effects on the SP.
