I mostly agree with the above.

According to the Notice of Meeting and in accordance with the Corporations Act, Ruffy is unable to vote on items 2 and 8 for the AGM. However, for the EGM (assuming it goes ahead, which seems likely), there are no voting exclusions, so Ruffy's preferences will pass, including his re-election, as well as Wachtel's and Chua's re-elections.

Any vote against Ruffy's preferences is effectively just a protest vote.
