    I'll give the directors 3 out of 10 for this effort. A 5% fee to brokers for a non underwritten placement at a 18% discount to last price to enable two of them to sell $1.5 million of BLK shares which cost them $0 is a poor effort .
    Their tax liability is not the company's problem.
