So about 50% of the acquisition consideration is performance based on achieving $7m rev/$2m ebidta then $25m rev/$12.m ebidta within 12 and 18 months.
IMO they wouldn't agree to this sort of performance hurdle unless they knew it was achievable and likely.
On a multiples basis the acquisition is quite cheap. Makes the current AGH market cap look insanely low as well.
