As I said in my post there are things that make it a positive but I have my lingering doubts based on recent events.

Need to understand profitability of the entity we are taking over to determine whether good value or not and what the actual synergies are. The face recognition technology might have some benefits in relation to ADRC, as might getting their staff, but what are the costs. The benefit cost analysis is missing and the way I would put it is this: If SH were happy and trusted XPE we would accept it as likely to a good deal. In the current environment the deal needs to pass the smell test, and right now with negative sentiment here the smell test has not been passed on this transaction. In doing the benefit test need to understand the profitability of the entity concerned, future work and profit arising from that work, plus our share of those profits, and likely synergies of the transaction that reduce our unit costs and right now that is information we don't have that information. All IMO
