So potentially paying $2.6 million for a (low margin?) business with revenue under $7 million last year given the incentive payment.
MSG earns a gross margin of around 15% or a gross profit of $1 million before overheads for this business if the margin is similar.
Why would it be higher?
It does not add up to me, though they can spread overheads. Gross margin would have to be much higher given the risks to make this a bargain.
