The earnout clearly sends two strong messages.
1- the ex vendor must firmly believe in his ability to perform.
2- we have a mechanism that we cannot overpay and that protects us as shareholders.
I hope that the vendor gets his full entitlement of shares.
This is a fantastic deal for us.
