Under the terms of a mandate between the Lead Manager and Lucapa dated 12 May 2021 ("Mandate"), the Lead
Manager will also receive a total of 5,000,000 unlisted options (“Options”) exercisable on or before 30 July 2025,
exercisable at A$0.080 per share, subject to the available placement capacity of Lucapa or Lucapa otherwise
obtaining shareholder approval for the issue of the Options.
