I would imagine that all the ''Shares in lieu of Payment" are legit and didn't need to be in the Prospectus. Basically Moti has all these outstanding debts that need to be paid, so as a cost cutting method he chose to pay them all out via shares and not cash.
However this does seem a bit dogde, work from 2016 etc and only getting paid or requesting payment mid 2018 ("ON THE VERGE/TRANSITION OF COMMERCIALIZATION" - Moti Gross). This seems pretty dodgy, and retailers would be p*ssed off and rightly so that they had to buy their shares on market at 40c-30c-20c-10c or less. All the while moti and these guys get huge volume at cheap prices which they wouldn't have been able to obtain on market purchase.
ASX has done the right thing by stepping in and not letting this daylight robbery proceed.
