....and regarding any shareholder vote Helicon clearly has a vested interest in the outcome so should be excluded from any vote.....and given the independence of the ADT board is clearly questionable, an outside party needs to appoint an organisation to prepare an independent report on this proposed transaction.
In Australia Helikon would have been prevented from accumulating over 20% without triggering take-over regulations.
