Yes the entire Board should be shown the door, after claw back of the executive remuneration for the past decade at least. Didn't the previous Board Chair take on the CEO role to position the company, with commensurate remuneration. Mega $Mn's if not $Bn's blown against the wall over years and compounded by this failed de-merger.
