for the $85m purchase price, we pay $40m up front and cash & shares over a 3 year period. in that $85m there is $23m inventory and debtors that is ours. plus with the assets we would then have, allows us to get a $20m loan facility. plus what NS produces in profit. we have been told that if NS doesn't hit certain landmarks over that 3 year period, the purchase price will be reduced.
