    SFN capped at $3.5 million and will still have sub 70 million shares on issue post deal

    Acquisition priced at just 0.4 of earnings - $12 million annual earnings, SFN paying $4.5 million in shares and $500,000 cash to take control

    Target is profitable, and revenue grew 56% in the last 9 months
