Just on the basis of the Share Exchange Agreement, seems like the significance of Valuation Date is that prior to this date, there are 2 opposing forces to the direction of the SP. After the Valuation Date, the interest of all parties to the deal will be aligned.
There will be one less downward pressure to the SP after Valuation Date.
