I wonder if, in the role as board member, you make a recommendation to conditionally accept the share offer, but at the same time, in your role as share owner, are you bound to vote the same way? I guess there are ethical questions. Certainly if we consider the scenario where TG has made the recommendation and negotiated the conditional terms, because if he did not, and the share price tanked, the board could be pursued by shareholders for not acting in the interests of all shareholders, then he has done his duty as aboard member. As a share owner, his ‘duty’ could lie in another direction and so he should vote with his conscience. Id image when it gets to that pointy end, he can state, as a board member I have done this, for this reason and now as a shareholder my intention is to do that, for my own interests/reasons.
