MARKET ANNOUNCEMENT
BLIS Technologies Limited - Conversion of Cumulative Preference Shares
BLIS Technologies Limited ("BLIS") has converted all of the Cumulative
Preference Shares which it had on issue as at 5pm 8 May 2012 into a further
298,062,787 Ordinary Shares in accordance with its prospectus date 30 March
2009. Ninety five percent of the prevailing Ordinary Share price over the
previous 20 business days was used for the conversion, being $0.01342 per
Ordinary Share.
Immediately prior to the conversion BLIS satisfied the final distribution of
$200,000 (gross) payable in respect of the Cumulative Preference Shares by
issuing further Ordinary Shares of an equivalent value using the same
Ordinary Share price of $0.01342 per Ordinary Share. A further 12,990,194
Ordinary Shares were issued by BLIS to satisfy the distribution.
The 311,052,981 Ordinary Shares issued under the conversion and dividend will
rank equal with all other Ordinary Shares on issue in the Company and will
participate equally in all distributions declared after the date of issue.
The quotation of the Cumulative Preference Shares on NZX ceased at 5pm on 8
May 2012.
The Board has also resolved to cancel 5,000,000 Ordinary Shares which it was
currently holding as Treasury Stock with immediate effect.
