Delegat's Group Limited: Transfer of securities
The Board of Delegat's Group Limited (Delegat's) advises that it has reissued
50,000 ordinary fully paid shares (previously being held as Treasury Stock)
in the Company under the Company's Employee Share Ownership Plan on the 18
May 2012. The issue price has been set at 2.07 per share. The total number of
ordinary shares in existence remains 101,130,192 shares. No new ordinary
shares have been issued by the Company in order to complete this off-market
trade.

Number reissued: 50,000 ordinary shares issued at $2.07, each fully paid.
Payment: The payment of $2.07 was paid in cash on the date of issue
Reason for the reissue: The shares were issued to one employee of the DGL
group of companies in accordance with the provisions of the Delegat's Group
Limited Employee Share Ownership Plan. Consequently, Delegat's Wine Estate
Limited, a wholly owned subsidiary of DGL, assisted the employee with the
satisfaction of the payment of the issue price for the Shares, by providing a
loan facility to the Subscribers for an amount equal to the issue price.
Authority of issue: Listing Rule 8.1.3 and Directors' Resolution.
Terms of issue: The shares are credited as fully paid, and rank in all
respects equally with the shares already on issue. The shares are restricted
in terms of the conditions of the Employee Share Ownership Plan under which
they have been issued.
