NOTIFICATION OF CONVERSION OF SECURITIES - OPTIONS

For the purposes of Listing Rule 7.12.9 of the NZX Main Board/Debt Market
Listing Rules, Diligent Board Member Services, Inc. (DIL) advises that the
following securities have converted today:

a) Number and class of securities converted: 10,000 unlisted options granted
under DIL's 2007 Incentive Plan on 9 October 2009 (Options) converted into
Ordinary Shares.

b) Interest and dividend conditions: N/A.

c) Number of securities after conversion: 198,334 Options 86,802,226 Ordinary
