Issue Price: For the 132,317,278 shares issued under the initial public
offer, $1.00 per share payable in cash
For the 36,209,901 shares issued under the agreement between Evolve Education
Group Limited and the vendors of Lollipops Educare Holdings Limited dated 14
November 2014, as part consideration for the purchase of Lollipops Educare
Holdings Limited by Evolve Education Group Limited
For the 449,438 shares issued under the terms of engagement with Hayes Knight
Business Services (QLD) Pty Ltd, in consideration for the provision by Hayes
Knight Business Services (QLD) Pty Ltd of management assistance in connection
with the acquisition of early childhood education centres by Evolve Education
Group Limited
d) Payment terms: As above
e) Amount paid up: Fully paid
f) Principal terms: N/A
g) Percentage of class of securities: 95.42% (being 168,976,617 out of
177,082,724 ordinary shares on issue post allotment)
