NOTIFICATION OF ISSUE OF SECURITIES
Auckland, New Zealand, 2 September 2013 - Fisher & Paykel Healthcare
Corporation Limited (NZSX:FPH, ASX:FPH) advises that the following securities
were issued pursuant to the Company's 2008 and 2010 issue of options under
the Fisher & Paykel Healthcare 2003 Share Option Plan. The issue of options
and shares under the Plan were approved by the Board on 22 August 2008 and 27
August 2010 respectively.

(g) Reason for issue Employees cancelling and exercising options issued under
the 2008 and 2010 issues of the Fisher & Paykel Healthcare 2003 Share Option
Plan.
86,935 options were cancelled on 29 August 2013 pursuant to the Cancellation
Offer approved by shareholders at the ASM held on 12 August 2004. 1,994
shares were issued in consideration of the cancellation of the options and
are equal in value to the gain on the options (such gain being calculated
based on exercise price of $3.48 and $3.21).
27,434 shares were issued to employees exercising options issued under the
2008 issue of the Fisher & Paykel Healthcare 2003 Share Option Plan.
29,033 shares were issued to employees exercising options issued under the
2010 issue of the Fisher & Paykel Healthcare 2003 Share Option Plan.

(i) Terms of issue The shares rank pari passu with the existing ordinary
shares.
