NOTIFICATION OF ISSUE OF SECURITIES
Auckland, New Zealand, 19 September 2013 - Fisher & Paykel Healthcare
Corporation Limited (NZSX:FPH, ASX:FPH) advises that the following securities
were issued pursuant to the Company's 2009, 2010 and 2011 issue of options
under the Fisher & Paykel Healthcare 2003 Share Option Plan. The issue of
options and shares under the Plan were approved by the Board on 21 August
2009, 27 August 2010 and 19 August 2011 respectively.

(c) Issue price $3.68 (323 shares); $3.21 (2.671 shares); $3.37 (2,677
shares); $2.29 (18,509 shares)

(g) Reason for issue Employees cancelling and exercising options issued under
the 2009, 2010 and 2011 issues of the Fisher & Paykel Healthcare 2003 Share
Option Plan.
106,999 options were cancelled on 18 September 2013 pursuant to the
Cancellation Offer approved by shareholders at the ASM held on 12 August
2004. 22,513 shares were issued in consideration of the cancellation of the
options and are equal in value to the gain on the options (such gain being
calculated based on exercise prices of $3.68, $3.21, $3.37 and $2.29).
1,667 shares were issued to employees exercising options issued under the
2011 issue of the Fisher & Paykel Healthcare 2003 Share Option Plan.

(i) Terms of issue The shares rank pari passu with the existing ordinary
shares.
