NOTIFICATION OF ISSUE OF SECURITIES
Auckland, New Zealand, 24 September 2015 - Fisher & Paykel Healthcare
Corporation Limited (NZSX:FPH, ASX:FPH) advises that the following securities
were issued pursuant to the Company's 2011 and 2012 issue of options under
the Fisher & Paykel Healthcare 2003 Share Option Plan, and the Company's 2012
issue of Performance Share Rights (PSRs) under the Fisher & Paykel Healthcare
Performance Share Rights Plan. The issue of options and shares under the Plan
were approved by the Board on 19 August 2011 and 16 July 2012 respectively.
The issue of shares under the PSR plan was approved by the Board on 16 July
2012.

(g) Reason for issue Employees cancelling options issued under the 2011
issues of the Fisher & Paykel Healthcare 2003 Share Option Plan.
12,334 options were cancelled on 23 September 2015 pursuant to the
Cancellation Offer approved by shareholders at the ASM held on 12 August
2004. 8,410 shares were issued in consideration of the cancellation of the
options and are equal in value to the gain on the options (such gain being
calculated based on an exercise price of $2.43).
20,000 shares were issued to employees exercising options issued under the
2011 and 2012 issue of the Fisher & Paykel Healthcare 2003 Share Option Plan
based on exercise prices of $2.29, $2.36, $2.43 and $2.06.
Employees exercising PSRs issued under the 2012 issue of the Fisher & Paykel
Healthcare Performance Share Rights Plan.
1,850 PSRs were exercised on 23 September 2015, and 1,850 shares were issued.
