NOTIFICATION OF ISSUE OF SECURITIES
Auckland, New Zealand, 28 May 2014 - Fisher & Paykel Healthcare Corporation
Limited (NZSX:FPH, ASX:FPH) advises that the following securities were issued
pursuant to the Company's 2009 issue of options under the Fisher & Paykel
Healthcare 2003 Share Option Plan. The issue of options and shares under the
Plan were approved by the Board on 21 August 2009 and 19 August 2011.
(a) Class of security Ordinary shares.

(b) Number issued 19,447.
(c) Issue price $2.29 (1,262); $3.68 (958); $3.86 (15,750)

(g) Reason for issue Employee cancelling options issued under the 2009, 2011
issue of the Fisher & Paykel Healthcare 2003 Share Option Plan.
28,699 options were cancelled on 28 May 2014 pursuant to the Cancellation
Offer approved by shareholders at the ASM held on 12 August 2004. 3,697
shares were issued in consideration of the cancellation of the options and
are equal in value to the gain on the options (such gain being calculated
based on exercise price of $2.29, $3.68, $3.88, $4.09).
15,750 shares were issued to employees exercising options issued under the
2009 issue of the Fisher & Paykel Healthcare 2003 Share Option Plan.
(h) Authority for issue Directors' resolution.
(i) Terms of issue The shares rank pari passu with the existing ordinary
shares.
(j) Total number of securities after issue 551,174,984.
(l) Date of issue 28 May 2014.
