Re:  Issue of shares under CEO LTI Share Scheme

NZX Limited ("NZX") advises that it has issued 1,575,000 ordinary shares
pursuant to the terms of the CEO LTI Share Scheme, the terms of which are as
set out in NZX Limited's 2012 half year financial statements (pp 19 - 20).
Following this issue, the total number of NZX ordinary shares on issue is
255,331,483.
