Number issued: 187,859 ordinary shares
Nominal value/issue price: $3.947 per share reflecting the 20 trading day
volume weighted average price of Pushpay Holdings Limited's ordinary shares
on the NZAX board through to 6 June 2015
Payment terms: Cash through the Company's Share Incentive Scheme
Amount paid up: Fully paid
Principal terms of the Securities (other than for Quoted Securities):
Ordinary shares
Percentage of total class of securities issued: 0.3255% (after issue)
Reason for issue: Issue of shares to Pushpay Trustees Limited to be held for
the benefit of certain employees and contractors under the Company's Share
Incentive Scheme to attract, retain and reward personnel and to motivate them
to excel. The relevant employees were offered the opportunity to join the
Scheme in mid-2015 and the issue price reflects market prices at that time.
Authority for issue: Board resolution dated 17 December 2015
Terms or details of issue: The ordinary shares rank in all respects equally
with existing ordinary shares in Pushpay
