ALLOT: PEB: Conversion of Remaining Redeemable Partly Paid Shares
CONVERSION OF REMAINING REDEEMABLE PARTLY PAID SHARES

Pacific Edge Limited ("the Company") announces that the last of its remaining
Redeemable Partly Paid ("RPP") shares, originally issued on 26 August 2004,
have been converted to ordinary shares.
Prior to this conversion, there were 300,000 RPP shares outstanding. The RPP
shares had been partly paid up to $0.01 per RPP share. Holders of the RPP's
had two options, to pay the remaining $0.24 per RPP or redeem the RPP's with
the Company and convert the cash paid, $0.01 per RPP, to ordinary shares at
the rate of $0.137 per ordinary share.
Of the 300,000 RPP shares outstanding, 200,000 RPP shares will be paid up and
the Company will receive $0.24 per RPP. The holder of the other 100,000 has
elected to redeem the RPP's with the Company. The net amount of new ordinary
shares to be issued by the Company for the conversion of the 300,000 RPP's is
207,299.
The Company now gives notice of the new share issues resulting from these
conversions.

a. $0.137 per share; and
b. $0.25 per share (including $0.01 per share previously paid).
Percentage Issued: 0.07%
Terms of Issue: Shares rank pari passu with existing Ordinary Shares.
Reason: Pursuant to a conversion of Redeemable Partly Paid shares to Ordinary
Shares:
a. under an option to convert the amount previously part-paid under the
relevant shareholder's RPP shares at a price of $0.137 per share; and
b. in accordance with the terms of issue of the RPP shares.
