acquire up to 902,500 Ordinary Shares in the Company (in total) on the Terms
of Issue set out below.

Class of Security Issued: Option to acquire Ordinary Shares.
Issue Price: Issue price of $0.535 per share payable in cash on the issue of
Ordinary Shares to the Option Holder pursuant to the exercise of their
Options.
Percentage Issued: N/A
Terms of Issue: One third of the Options will vest in the relevant Option
Holder each year for the first three years of continuous employment (with the
Company or a wholly owned subsidiary of the Company, as the case may be) as
part of the relevant Option Holders performance incentive program. If the
Option Holder's employment ceases then they will receive a fractional
entitlement based on the length of service during the relevant year. To
exercise any of the Options vested, the relevant Option Holder must pay cash
consideration of $0.535 per share payable in cash on the exercise of the
Options. Any Ordinary Shares issued on exercise of the Options will rank
pari passu with existing Ordinary Shares.
Reason: Pursuant to section 49 of the Companies Act 1993 and Listing Rule
7.3.6.
