Notice of Issue of Securities
Pursuant to Listing Rule 7.12.1, Steel & Tube Holdings Limited ("Steel &
Tube") gives notice that it has issued the following securities:
(a) Class of Security and ISIN:  Ordinary shares (ISIN - NZSUTE0001S5)
(b) Number of Securities Issued:  2,103,786
(c) Issue Price of Securities: $2.852
(d) Whether Payment was in Cash:  The securities were issued in part
satisfaction of the purchase price for the business and assets of
Manufacturing Suppliers Limited and certain of its related companies by Steel
& Tube's wholly owned subsidiary S & T Fasteners Limited
(e) Amount Paid Up:  Fully paid
(f) Principal terms of the Securities: N/A
(g) Percentage of Total Class of Securities Issued:  2.32%
(h) Reason for the Issue:  The securities were issued in part satisfaction of
the purchase price for the business and assets of Manufacturing Suppliers
Limited and certain of its related companies by Steel & Tube's wholly owned
subsidiary S & T Fasteners Limited
(i) Authority for the Issue:  Board resolution
(j) Any terms of the issue:  Except in specified circumstances, the shares
shall not be transferred or otherwise disposed of without consent of Steel &
Tube Fasteners Limited for a minimum period of 6 months.  1/3 may be
transferred after 6 months, 2/3 may be transferred after 12 months, and all
of the shares may be transferred after 18 months.
