ALLOT: TIL: ALLOTMENT OF SHARES ON EXERCISE OF WARRANTS
For the purposes of NZSX Listing Rule 7.12.1, Trilogy International Limited
(NZX: TIL) advises the following securities have been issued on 18 June 2013
pursuant to the exercise of Series 2 Warrants (ECOWB).
To ensure compliance with the Takeovers Code, Trilogy agreed with The
Business Bakery LP (The Bakery) to vary the terms of exercise of its warrants
so that the Bakery was issued unlisted non-voting shares with the terms set
out in the Schedule to this letter.
The proceeds of exercise of the warrants of $777,653 will be used to reduce
Trilogy's bank debt.

Schedule: Terms of unlisted non-voting shares
- except as set out below, the unlisted non-voting shares have the same
rights and terms, and rank uniformly in all respects with, all ordinary
shares on issue in Trilogy (including as to dividend rights, entitlements to
participate in any rights issue or capital adjustment in respect of ordinary
shares, and the entitlement to participate in any surplus on a liquidation of
Trilogy);
- the unlisted non-voting shares shall initially bear no voting rights. If
the holder elects by notice in writing to Trilogy each share specified in the
notice may be reclassified as a voting ordinary share;
- the unlisted non-voting shares will not be quoted by NZX but are
transferable by written transfer instrument in a usual form.
