Issue of Subordinated Bonds
TrustPower Limited advises that it has allotted 140,000,000 Subordinated
Bonds pursuant to its Offer of Subordinated Bonds contained in the Prospectus
dated 26 July 2012.  The details of the issue, as required by listing rule
7.12.1, are:
a) Class of Security : Subordinated Bonds NZTPWDT110C6
b) Number of Bonds issued : 140,000,000
c) Issue Price : $1.00 per Subordinated Bond
$140,000,000 in aggregate Subordinated Bonds
d) Payment : Cash
e) Paid up amount : Fully paid
f) Subordinated Bonds issued as a percentage
 of total Subordinated Bonds issued : 100%
g) Reason for issue : Refinance of Series 2012 Bonds and general corporate
purposes, including the repayment of debt.
h) Specific authority for issue : Prospectus dated 26 July 2012 and board
resolution dated 25 July 2012.
i) Terms of details of the issue : As set out in the Prospectus dated 26 July
2012, and the Master Trust Deed dated 30 October 2009 (as amended by a deed
of amendment dated 25 July 2012) and Series Supplement dated 25 July 2012.
Subordinated Bonds issued with a maturity date of 15 September 2019 which
have an interest rate of 6.75% payable quarterly.
