NOTICE TO NZX LIMITED - LISTING RULE 7.12.1
This notice relates to the granting of options to acquire ordinary shares in
Xero Limited, on 10 July 2013, to certain employees within the Xero Limited
Group as part of the Xero Limited Employee (USA) Share Option Scheme. The
details of such grant are as follows:
(a) Class of Security and ISIN Options over Ordinary Shares
ISIN: NZXROE0001S2
(b) Number of securities issued 170,789 Options have been granted (with each
option having the right to acquire one ordinary share in Xero Limited subject
to the terms of the Xero Limited Employee (USA) Share Option Scheme)
(c) Issue price Nil. The Options have an exercise price of $17.40 per Option.
(d) Payment in cash? N/A. Options were granted as part of the Xero Limited
Employee (USA) Share Option Scheme.
(e) Any amount paid up (if not in full) N/A
(f) Percentage of total class issued (excluding treasury stock) If 100% of
the Options were to be exercised and converted to ordinary shares of Xero
Limited at the date of grant: 0.145% of issued Ordinary Shares
(g) Reasons for the issue Granting of Options under the Xero Limited Employee
(USA) Share Option Scheme as part of the remuneration package of US based
employees
(h) Specific authority for the issue Resolution of directors passed on 19
June 2013
(i) Terms or details of the issue Options are exercisable in specified
percentages from each of the three anniversaries of the grant date of the
Options subject to the terms of the Xero Limited Employee (USA) Share Option
Scheme (including continued employment within the Xero Limited Group).
(j) Total number of securities of the class in existence after the issue
(excluding treasury stock) 754,953 Options over ordinary shares (taking into
account the granting of 170,789 Options, and the exercise or forfeiture of
8,226 Options).
