NOTIFICATION OF ALLOTMENT OF SECURITIES
For the purpose of Listing Rule 7.12.1 of the NZX Listing Rules, Xero Limited
advises the following securities have been issued:

Issue price NZ$16.10 per Ordinary Share, being the 20 day volume weighted
average price of Xero Limited's Ordinary Shares on the NZX Main Board through
to 29 January 2015.
Payment in cash No. Ordinary Shares were issued to Lee Hatton in lieu of
cash, as remuneration for her role as a director of Xero Limited for the
preceding six month period, to a value of NZ$35,000 (Lee Hatton's current
total annual remuneration for her role as director of Xero Limited is
NZ$70,000).

Percentage of total class issued (excluding treasury stock) 0.0017% (as a
percentage of Ordinary Shares on issue after this issue to 4 d.p.)
Reasons for the issue Ordinary Shares issued to Lee Hatton in lieu of cash,
as remuneration for her role as a director of Xero Limited for the preceding
six month period, to a value of NZ$35,000 (Lee Hatton's current total annual
remuneration for her role as director of Xero Limited is NZ$70,000). The
issue of Ordinary Shares to Lee Hatton was approved by shareholders at Xero
Limited's Annual Meeting held in July 2014.
Specific authority for the issue Resolution of directors passed on 29
January 2015 and shareholder resolution passed at Xero Limited's Annual
Meeting on 23 July 2014.
Terms or details of the issue Fully paid Ordinary Shares, with an issue
price equal to the 20 day volume weighted average market price of Xero
Limited's Ordinary Shares on the NZX Main Board through to 29 January 2015.
Total number of securities of the class in existence after the issue
(excluding treasury stock) 128,379,397 Ordinary Shares
