I was a little unsure after reading and received this reply from Shane yesterday.

At the end of Yr-6 after Financial Close YAG must sell-back its interest to ATC. BUT – if YAG pays the cancelation fee prior to end of year 6 it does not sell-back its interest to ATC.

ATC can give notice to YAG before the end you Y-6 advising YAG that it must sell-back it interest early.BUT if YAG pays the cancelation fee within 30 days of receiving notice from ATC then it does not sell back its interest
